Summary, not a substitute for the terms Vision Makers is a non-custodial software interface. We never hold your keys or your assets. You are responsible for every transaction you sign. We provide information and tools, not financial advice. Digital assets can lose all their value. Some jurisdictions and persons cannot use the service.
## 1 · Who you are contracting with These Terms form a binding agreement between you and **Vision Makers Technologies Inc.**, a corporation registered in the Republic of Panama ("Vision Makers", "we", "us"). By accessing or using the platform, including the website, web application, Telegram Mini App, Telegram bot, mobile applications and API (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service. ## 2 · Eligibility You may use the Service only if you: - are at least **18 years old**, or the age of majority in your jurisdiction if higher; - have capacity to enter a binding contract; - are **not** located in, resident in, or a national of a prohibited jurisdiction, and are not a sanctioned person. See [Sanctions and prohibited jurisdictions](/legal/sanctions); - have not previously been suspended or removed from the Service; - will comply with all laws applicable to you, including tax and securities laws. You are solely responsible for determining whether your use is lawful where you are. ## 3 · What the Service is, and is not **It is** a software interface that aggregates on-chain, market, social and news data; produces AI-generated interpretation of that data; and allows you to construct and sign blockchain transactions from a wallet you control. **It is not**: - a broker, dealer, exchange, custodian, money transmitter, bank or investment adviser; - a provider of financial, investment, legal, tax or accounting advice; - a guarantor of any outcome, return, execution price, or the accuracy of any data or interpretation; - a counterparty to any trade you execute. Nothing in the Service constitutes a recommendation to buy, sell or hold any asset. ## 4 · Non-custodial operation **We do not take custody of your assets at any point.** You connect a wallet you control. Private keys, seed phrases and recovery material remain exclusively yours and are never transmitted to or stored by us. The consequences follow directly and are not negotiable: - **We cannot reverse, cancel or recover any transaction once signed and broadcast.** - We cannot recover lost keys or seed phrases. Loss of your keys means permanent loss of your assets. - We cannot freeze, seize or return assets sent to a wrong address. - You bear the full risk of any transaction you authorise. ## 5 · Automated features and agents The Service can prepare transactions, arm conditional orders and run scheduled agents. **Every such feature terminates at your signature.** We do not execute on your behalf without authorisation. However, you acknowledge: - a conditional order may execute when its stated condition is met, under circumstances you did not anticipate; - where you grant a standing on-chain approval, transactions within its scope may execute without further prompting, you are responsible for the scope you grant; - wallet tracking and alerts are informational only. The Service does not trade on your behalf or replicate another wallet's activity; - you set the limits on automated actions, and those limits are your responsibility. ## 6 · AI-generated content Interpretations, summaries, rankings, risk indications and agent outputs are **generated automatically and may be incomplete, outdated or wrong**. They are grounded in data sources we consider reliable but do not warrant. You must exercise independent judgement. Do not treat any AI output as advice. See [AI Transparency](/legal/ai-transparency) and [Risk Disclosures](/legal/risk-disclosures). ## 7 · Your account and security You are responsible for your wallet, devices, credentials and account security. Notify us at [admin@visionmakers.io](mailto:admin@visionmakers.io) of any suspected compromise. We will never ask for your seed phrase or private key, anyone who does is attempting to defraud you. See [Communications Policy](/legal/communications). ## 8 · Acceptable use Your use is subject to the [Acceptable Use Policy](/legal/acceptable-use), incorporated by reference. Breach may result in immediate suspension or termination. ## 9 · Identity verification Certain features, notably [Vision Makers Pad](/platform/pad) launches, require identity verification. We may request verification at any time where required by law or our risk programme, and may restrict access pending it. See [AML, CTF and KYC](/legal/aml-kyc). ## 10 · Fees Fees for premium subscriptions, launches, competitions and services are displayed before you commit. Blockchain network fees ("gas") are paid by you to the network and are not ours. Third parties, including liquidity venues, may charge their own fees. Fees may change on notice. ## 11 · Third-party services The Service integrates wallets, liquidity venues, data providers, messaging platforms and other third parties. We do not control them, are not responsible for them, and their inclusion is not an endorsement. Your use of them is governed by their terms. ## 12 · Intellectual property The Service, its software, design, brand, trade marks and content are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, reverse-engineer, scrape, resell or create derivative works except as permitted by law or written agreement. Third-party marks belong to their owners. ## 13 · Availability The Service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation and may modify, suspend or discontinue any part at any time. Blockchain networks, which we do not control, may be congested, forked, halted or reorganised. ## 14 · Disclaimers To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or completeness of any data or AI output. ## 15 · Limitation of liability To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost opportunity, lost data or **trading losses of any kind**, however arising. Our aggregate liability for all claims in any twelve-month period is limited to the **greater of (a) the fees you paid us in that period and (b) US$100**. Nothing limits liability that cannot be limited by law, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts may not apply to you. ## 16 · Indemnity You will indemnify and hold harmless Vision Makers Technologies Inc., its affiliates, officers and employees from claims arising out of your use of the Service, your breach of these Terms or applicable law, or your infringement of a third party's rights. ## 17 · Suspension and termination We may suspend or terminate access immediately where we reasonably believe you have breached these Terms or the [Acceptable Use Policy](/legal/acceptable-use), where required by law or a regulator, where necessary to prevent harm or financial crime, or where you are or become a restricted person. You may stop using the Service at any time. Because the Service is non-custodial, your assets remain in your wallet and are unaffected by termination. Sections 4, 6, 12, 14, 15, 16 and 19 survive. ## 18 · Changes to these Terms We may amend these Terms. Material changes will be notified through the Service or by email where we hold your address, with reasonable notice before they take effect. Continued use after the effective date constitutes acceptance. ## 19 · Governing law and disputes These Terms are governed by the laws of the **Republic of Panama**, without regard to conflict-of-laws rules. Disputes are subject to the procedure in [Complaints and Disputes](/legal/complaints), including the requirement to attempt informal resolution first. Nothing deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence. ## 20 · General If any provision is held unenforceable, the remainder stands. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
